These Terms of Service (“Terms”) are a legally binding agreement between you and Sentinel School Security (“Sentinel,” “we,” “our,” or “us”) governing your access to and use of our public websites and online content (the “Sites”) and any security and monitoring products and services we make available, including AI-assisted gun detection and associated software, hardware, integrations, and support (the “Services”).

By accessing or using the Sites or Services, you agree to these Terms. If you use them on behalf of an organization (e.g., a school, church, or other entity), you represent that you are authorized to accept these Terms on its behalf, and “you” or “Customer” refers to that organization. If you do not agree, do not use the Sites or Services.

1. Additional Agreements

These Terms may be supplemented by separate written agreements (e.g., Master Services Agreement, order form, data processing agreement). To the extent of any direct conflict, the signed Customer Agreement controls. Our Privacy Policy is incorporated by reference.

2. Eligibility and Acceptable Use

You may use the Sites and Services only in compliance with these Terms and all applicable laws. You agree not to use them for any unlawful or harmful purpose; attempt unauthorized access to our systems; interfere with or disrupt the Sites or Services; reverse engineer the Services except as permitted by law; infringe third-party rights; or use them in a manner that creates undue risk to any person or property.

3. Customer Accounts and Responsibilities

Where registration or an account is required, Customer is responsible for accurate and complete information, maintaining confidentiality of credentials, ensuring authorized use in compliance with these Terms, and all activities under its accounts. Sentinel is not responsible for losses from unauthorized access due to Customer’s failure to safeguard credentials.

4. Security Services and Limitations

The Services are designed to assist in detecting and responding to certain threats but do not guarantee detection or prevention of all threats. The Services may rely on third-party infrastructure outside Sentinel’s control. No security system is infallible; false negatives and false positives may occur. Customer remains solely responsible for its safety policies, emergency procedures, and decisions. Sentinel and its partners and vendors are not insurers; Customer is responsible for maintaining appropriate insurance.

5. Ownership and Intellectual Property

Sentinel and its licensors own all right, title, and interest in and to the Sites and Services, including all related technology and intellectual property. Except for limited rights expressly granted, no rights are granted to you. You may not remove or alter any proprietary notices.

6. Customer Content and Data

Customer may provide or enable access to video feeds, images, configurations, and other materials (“Customer Content”). Customer retains ownership. Customer grants Sentinel and its vendors a non-exclusive, worldwide, royalty-free license to use, host, store, process, and transmit Customer Content solely as necessary to provide, operate, maintain, secure, and improve the Services and fulfill our obligations. Customer is responsible for having all necessary rights and consents to provide Customer Content.

7. Third-Party Services

The Sites and Services may interoperate with third-party services. Sentinel does not control and is not responsible for the availability, performance, or security of third-party services not operated by Sentinel. Use may be subject to separate terms and privacy policies.

8. Payment and Subscription

Fees, billing, and subscription terms are as described in the applicable Customer Agreement or order form. Unless otherwise stated, fees are due as set forth therein, late payments may be subject to interest and collection costs, and fees are non-refundable except where required by law or expressly stated.

9. Term and Termination

These Terms remain in effect while you use the Sites or Services. Sentinel may suspend or terminate access immediately upon notice if you materially breach these Terms or any Customer Agreement (and fail to cure if curable), if Sentinel reasonably believes use poses a security or safety risk, or if required by law. Upon termination, your right to access and use the Services ceases. Provisions that by their nature should survive (including ownership, confidentiality, disclaimers, limitation of liability, dispute resolution) remain in effect.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITES AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. SENTINEL, ITS PARTNERS, AND ITS VENDORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SENTINEL DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OR THAT ANY THREAT WILL BE DETECTED OR PREVENTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTINEL, ITS AFFILIATES, PARTNERS, AND VENDORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THE SITES, SERVICES, OR THESE TERMS. SENTINEL’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY CUSTOMER TO SENTINEL FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS (US$100) FOR USERS WHO HAVE NOT PURCHASED SERVICES. Some jurisdictions do not allow certain limitations; the above may not fully apply to you.

12. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Sentinel, its affiliates, partners, vendors, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Sites or Services in violation of these Terms or law, your breach of any representation or obligation, or any dispute between you (or your organization) and a third party. Sentinel may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate.

13. Confidentiality

Each party will protect the other’s confidential information using at least the same care it uses for its own similar information (and in no event less than reasonable care) and will use it only as necessary to perform its obligations or exercise its rights under these Terms and any Customer Agreements.

14. Dispute Resolution; Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles. Any dispute that cannot be resolved informally will be resolved exclusively in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction and venue there. Where permitted by law, the parties waive jury trial and agree to individual (non-class, non-representative) proceedings.

15. Changes to These Terms

Sentinel may update these Terms from time to time and will revise the “Last Updated” date. We may provide additional notice for material changes. Continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Sites and Services.

16. Miscellaneous

Entire Agreement. These Terms, with any Customer Agreements and the Privacy Policy, constitute the entire agreement and supersede prior agreements. Severability. If any provision is invalid or unenforceable, the rest remains in effect. No Waiver. Failure to enforce any right is not a waiver. Assignment. You may not assign without Sentinel’s consent; Sentinel may assign freely. Relationship. The parties are independent contractors. Notices. Notices to Sentinel may be sent to the contact below; notices to you may be sent to your account or provided contact information.
